Please read these Website Terms of Use (the “Terms”) carefully. They govern your access to and use of our websites, pages, applications, digital products, and related services (together, the “Services”), including the AI-enabled coaching/self-reflection experience known as “Oberdan AI Coaching” (the “AI Features”).

By accessing or using the Services, creating an account, or purchasing a plan, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms refer to the following additional terms, which also apply to your use of the Services:

  • Our Privacy Policy (explains how we collect and use personal data).

  • Any product-specific terms displayed at checkout or within the Services (including plan descriptions, usage limits and pricing).

 

If there is any inconsistency between these Terms and any product-specific terms, the product-specific terms will prevail for that product or feature.

 

3. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you confirm that you are at least 18.

The Services are offered globally, but you are responsible for ensuring that your use of the Services is lawful in your location.

 

4. Important safety notice (not therapy, not crisis support)

The AI Features are designed for coaching-style self-reflection, journalling prompts, psychoeducation and structured next-step planning. They are not psychotherapy, medical advice, diagnosis, treatment, or crisis support.

If you are in immediate danger, or if you may harm yourself or others, do not use the Services. Call your local emergency number immediately, or seek urgent help from a qualified professional.

You remain responsible for your choices and actions. You should seek appropriate professional support for mental health conditions, trauma, complex relationship harm, or situations requiring clinical judgement.

 

5. Accounts, security and access

You may need to create an account or purchase a plan to access some parts of the Services.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us promptly if you suspect unauthorised use of your account.

 

6. Purchases, subscriptions and payments

Some Services are paid. Prices, billing frequency, plan inclusions, and any usage limits are displayed at checkout or within the Services.

Payments are processed by third-party payment processors. We do not aim to store full payment card details on our own systems.

You authorise us (and our payment processors) to charge the applicable fees, taxes and any other charges described at purchase.

​

If your subscription renews automatically, you authorise recurring charges until you cancel. Details of renewal and cancellation (including any notice period, if applicable) will be shown at checkout or within your account.

We may change pricing or plan features from time to time. If changes affect an existing subscription, we will take reasonable steps to notify you in advance where practicable.

 

7. Cancellations and refunds

Unless otherwise stated at checkout or required by law, purchases are non-refundable once access has been provided. If a refund policy applies to a particular plan or promotion, it will be stated clearly at the time of purchase.

We may issue refunds or credits at our discretion (for example, where there has been a duplicate charge or a verified billing error).

 

8. Acceptable use

You agree not to misuse the Services. In particular, you must not:

  • use the Services for unlawful, harmful, abusive, harassing, defamatory, or discriminatory purposes;

  • attempt to gain unauthorised access to the Services, accounts, systems, or networks;

  • probe, scan, or test the vulnerability of any system or circumvent security measures;

  • interfere with or disrupt the Services (including by introducing malware, bots, scraping, or automated high-volume requests);

  • use the Services to generate or disseminate content that is illegal or that violates the rights of others;

  • misrepresent your identity or impersonate another person or organisation;

  • reverse engineer, copy, or create derivative works from any part of the Services except as permitted by law.

 

We may suspend or terminate access if we reasonably believe you have violated these Terms or created risk or possible legal exposure for us or others.

 

9. AI Features: limitations and user responsibilities

AI-generated outputs can be incomplete, incorrect, outdated, or inappropriate. You must use your own judgement and common sense, and you should not rely on AI outputs as professional advice.

You should not provide highly sensitive identifiers (e.g., NRIC/passport numbers) in the AI Features unless explicitly requested for a legitimate purpose.

You are responsible for the information you submit and how you act on any output. If something feels unsafe, inaccurate, or destabilising, stop using the AI Feature and seek human support.

​

We may implement safety controls (e.g., refusal of certain requests) and we may modify these controls over time.

 

10. User content and feedback

You may be able to submit content to the Services (for example, prompts, journal entries, messages, or feedback) (“User Content”).

You retain ownership of your User Content. However, you grant us a limited, worldwide, royalty-free licence to host, process, transmit and display your User Content solely to provide, maintain and improve the Services, and to comply with legal obligations.

​

If you provide suggestions, ideas, or feedback, you agree we may use them without restriction or compensation (and you waive any rights you may have to payment for such use), unless prohibited by law.

 

11. Intellectual property

All intellectual property rights in and to the Services (including software, design, text, graphics, branding, and content we provide) are owned by or licensed to us.

You may view, download, and print pages from the website for your personal, non-commercial use, provided you do not remove any copyright or proprietary notices.

You must not reproduce, distribute, publicly display, or commercially exploit any part of the Services without our written permission.

 

12. Availability, changes and suspension

We may change, suspend, withdraw, or discontinue any part of the Services at any time. We do not guarantee that the Services will always be available, uninterrupted, or error-free.

We may impose limits on use, storage, or access in order to protect the Services, manage capacity, or prevent misuse.

We may provide updates, patches, or changes automatically.

 

13. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that any content (including AI outputs) is accurate, complete, current, reliable, or suitable for any particular purpose.

​

We do not guarantee that the Services will be secure or free from bugs or viruses. You are responsible for using appropriate security and virus protection on your devices.

 

14. Limitation of liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

Subject to the above, to the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive losses or damages, or for any loss of profits, revenue, business, goodwill, or data arising out of or in connection with your use of (or inability to use) the Services.

​

Our total aggregate liability to you for any claim arising out of or in connection with the Services shall be limited to the greater of: (a) SGD 100; or (b) the total fees you paid to us for the relevant paid Service in the three (3) months immediately before the event giving rise to the claim.

 

15. Indemnity

You agree to indemnify and hold harmless Essence Leadership, its directors, officers, employees, and agents from and against all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms or misuse of the Services.

 

16. Termination

You may stop using the Services at any time. If you have a subscription, you may cancel in accordance with the cancellation method provided at checkout or within your account.

We may suspend or terminate your account or access to the Services at any time if we reasonably believe you have violated these Terms, created risk or possible legal exposure, or where our provision of the Services is no longer commercially viable.

Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will remain in effect.

 

17. Privacy

Our Privacy Policy explains how we collect, use, disclose and protect personal data. By using the Services, you agree that we can process personal data in accordance with the Privacy Policy.

 

18. Links to third-party websites

The Services may contain links to third-party sites or resources. We are not responsible for the content, availability, or practices of third parties. Links do not imply endorsement.

 

19. Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect.

 

20. No waiver

Any failure or delay by us to enforce any provision of these Terms will not be taken as a waiver of our rights.

 

21. Governing law and jurisdiction

These Terms are governed by Singapore law. You agree to submit to the exclusive jurisdiction of the Singapore courts.

 

22. Language

These Terms are drafted in English. If translated into any other language, the English version shall prevail.
